Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the GemsIQ platform, available at gemsiq.live, and all associated services, APIs, and features (collectively, the “Service”), operated by GemsIQ (“we,” “us,” or “our”).

By creating an account, accessing, or using the Service in any way, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

GemsIQ is an AI-powered earnings call analysis platform. The Service enables users to submit questions prior to or during a live earnings call, and receive AI-generated answers extracted in real time from live transcript streams or uploaded transcript documents.

In addition to question-and-answer functionality, the Service surfaces management signals, hidden gems, and other qualitative indicators automatically detected in earnings call transcripts. These include forward guidance language, risk admissions, tone shifts, expectation deltas, and competitive commentary.

The Service relies on third-party transcript data providers, large language models, and cloud infrastructure. We make no guarantee that the Service will be available continuously or that all earnings calls will be supported at any given time.

To use the Service, you must register for an account by providing a valid email address and creating a password. You agree to provide accurate, current, and complete information during registration and to update that information as necessary to keep it accurate.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@gemsiq.live if you suspect unauthorized access to your account. We are not liable for any loss or damage resulting from your failure to protect your login credentials.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in activity that we determine, in our sole discretion, poses a risk to the Service or other users.

Access to certain features of the Service requires a paid subscription. Subscriptions are billed on a recurring basis (monthly or annually depending on the plan selected) through Stripe, our third-party payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

New accounts receive 5 free calls. Once your free calls are used, a paid subscription is required to continue using the Service.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods unless required by applicable law.

Certain plans include usage limits (such as a maximum number of monitored calls per billing period). Usage above your plan's included limits may result in overage charges, which will be billed at the rates disclosed at the time of purchase or upgrade. We will make reasonable efforts to notify you before overage charges are incurred.

We reserve the right to change subscription pricing with at least 30 days' advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Redistribute, resell, sublicense, or otherwise commercialize AI-generated outputs from the Service without our prior written consent.
• Present AI-generated outputs from the Service as independent financial research, professional investment advice, or as originating from a licensed financial advisor.
• Scrape, crawl, or programmatically extract content from the Service using automated tools, bots, or scripts, except through our official API with proper authorization.
• Attempt to reverse engineer, decompile, or derive the underlying models, prompts, or proprietary logic used by the Service.
• Use the Service to manipulate, deceive, or defraud other market participants.
• Transmit malicious code, viruses, or any other content that could damage or disrupt the Service or its infrastructure.
• Circumvent any usage limits, authentication mechanisms, or access controls.
• Use the Service in any manner that could impair its availability or performance for other users.

We reserve the right to investigate and terminate accounts engaged in prohibited activity without prior notice and without refund.

The Service, including its software, design, algorithms, prompts, trademarks, and all content produced or displayed by GemsIQ (excluding third-party transcript data), is owned by or licensed to GemsIQ and is protected by applicable intellectual property laws.

You retain ownership of any questions, notes, or other content you submit to the Service (“User Content”). By submitting User Content, you grant GemsIQ a non-exclusive, royalty-free, worldwide license to use, process, and store that content solely for the purpose of providing and improving the Service.

Nothing in these Terms transfers any ownership rights in the Service or our intellectual property to you. The limited license granted to use the Service is personal, non-transferable, and revocable.

GemsIQ is not a registered investment adviser, broker-dealer, or financial planning firm. The Service does not provide investment advice. All outputs generated by the Service — including extracted answers, management signal summaries, hidden gems, and any other AI-generated content — are for informational purposes only. Nothing in the Service constitutes a recommendation to buy, sell, or hold any security.

AI language models can produce errors, hallucinations, and outputs that are incomplete, misleading, or factually incorrect. AI-generated outputs may misrepresent, omit, or misattribute statements made during an earnings call. You should independently verify any information before acting on it.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or free of harmful components.

To the maximum extent permitted by applicable law, GemsIQ and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, trading losses, or business interruption, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

You may stop using the Service and close your account at any time by contacting us at hello@gemsiq.live or through your account settings.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, non-payment of fees, or activity that we determine poses a risk to the Service, other users, or third parties.

Upon termination, your right to access the Service ends immediately. Provisions of these Terms that by their nature should survive termination will remain in effect, including sections covering intellectual property, disclaimers, limitation of liability, and governing law.

We may update these Terms from time to time. When we make material changes, we will notify you by email or by displaying a prominent notice within the Service at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service before they take effect.

These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any legal action or proceeding related to these Terms shall be brought exclusively in a court of competent jurisdiction, and you consent to personal jurisdiction in such courts.
